The service is provided by Lemric Dominik Łabudziński, a sole trader, referred to as Lemric.
2. Definitions
- Service: the online help centre and service desk available at lemric.com and related features configured for the Organisation.
- Customer: a business or other organisation that creates a workspace, places an order, or otherwise enters into an agreement for the Service for purposes connected with its professional activity.
- Organisation: the Customer’s workspace in the Service.
- Terms: these conditions for provision of the Service.
- DPA: the Data Processing Agreement forming part of the agreement with the Customer.
- Subprocessor List: the current list of subprocessors published in the Service.
- Order: an order, price list, or subscription confirmation stating scope, price, and billing period.
3. Acceptance and formation of the agreement
3.1 Scope of parties
These Terms apply only to agreements with businesses and other organisations acting for purposes connected with their professional activity. The Service is not offered to consumers within the meaning of consumer protection law.
3.2 Formation of the agreement
- The agreement is formed when Lemric confirms an Order or when an authorised person creates an Organisation and accepts the Terms in the Service.
- Before acceptance, the Customer may read and save the Terms in a form that allows unchanged reproduction.
- Accessing or using the Service after acceptance binds the Customer to the Terms.
- An authorised representative concludes the agreement on behalf of the Customer.
3.3 Duration
- The agreement lasts for the period stated in the Order or subscription.
- Where renewal is recurring, the agreement renews for the next billing period unless terminated before renewal.
- A trial or free scope may be ended at any time subject to the information given when it started.
4. Scope of the Service
4.1 Description
Lemric provides the Service which may include, depending on configuration, a customer portal, requests, queues, forms, workflows, service levels, automation, audit records, and integrations such as Jira and webhooks configured by the Customer.
4.2 Contractual scope
- Exact subscription scope, price, and billing period follow from the Order.
- A service level commitment applies only when expressly included in the Order.
- Lemric may develop, modify, and withdraw features provided this does not materially reduce the agreed scope without informing the Customer.
5. Technical conditions
To use the Service, the Customer should provide:
- an internet connection,
- a current browser that supports encrypted HTTPS connections,
- an active electronic mail address,
- where needed: JavaScript, cookies, or local browser storage,
- for integrations: access credentials and configuration for the relevant external system.
The Customer must protect devices, accounts, and credentials against unauthorised access. Lemric may set reasonable technical limits needed for security and stable operation.
6. Accounts and permissions
6.1 Access management
- The Customer assigns administrators, grants staff roles and end customer access.
- The Customer keeps account details current and promptly removes access that is no longer required.
- Each person must use their own account.
6.2 Responsibility for accounts
- The Customer is responsible for actions taken through accounts under its control unless those actions result from circumstances for which Lemric is responsible.
- Suspected account compromise must be reported without undue delay to legal@lemric.com.
- Lemric may require strong passwords, multifactor authentication, or other security measures.
7. Fees and payment
7.1 Charging
- Fees are calculated separately for each Organisation according to the current price list and Order.
- A change in the number of billable staff may affect the next charge.
- End customers and requesters who use only the portal are not staff unless the Order states otherwise.
7.2 VAT
Lemric Dominik Łabudziński is not an active VAT taxable person. Billing documents are issued without that tax according to the current status. If the tax status changes, billing will be adjusted to the law and the Customer will be informed when this affects the price.
7.3 Due dates and arrears
- Payment must be made by the due date and method stated on the billing document.
- Lemric may restrict paid features or suspend access after informing the Customer of arrears and setting a reasonable deadline for payment.
8. Customer content and lawful use
8.1 Ownership of content
- The Customer retains rights in content entered into the Service.
- The Customer authorises Lemric to process that content only as needed to perform, secure, and administer the agreement.
- The Customer is responsible for the lawfulness of collecting, publishing, and sharing that content.
8.2 Prohibited actions
The Customer must not:
- supply unlawful content,
- use the Service to infringe third party rights,
- distribute malware,
- send unsolicited bulk messages,
- bypass security or run unauthorised load tests,
- obtain unauthorised access or disrupt other users.
8.3 Reports of unlawful content (DSA)
Anyone may report content they consider unlawful to legal@lemric.com. A report should:
- identify the content and where it appears,
- explain why it is unlawful,
- include contact details where possible.
Lemric may ask for clarification, preserve necessary evidence, restrict access to content or an account, remove content, and notify the Customer or author where lawful and justified. The measure is chosen according to the nature, credibility, and urgency of the report. A Customer affected by an action may present its position to the same address.
9. Integrations
- The Customer decides whether to connect the Service to Jira, a webhook, or another available external system.
- The Customer is responsible for choosing the recipient, the scope of permissions, instructions, and the lawfulness of any data transfer.
- Availability and operation of integrations also depend on the external provider.
- Jira and webhook destinations are not permanent Lemric subprocessors. They are recipients acting on the Customer’s instruction.
10. Security, maintenance, and availability
10.1 Security
Lemric applies technical and organisational measures appropriate to the risk, including access control, logical isolation of Organisations, encryption in transit, and logging of selected operations. No internet service can guarantee operation without interruption or error.
10.2 Maintenance
- Maintenance, security events, or causes beyond reasonable control may temporarily limit availability.
- Lemric informs about material planned maintenance in advance when reasonably possible.
- Lemric restores operation without undue delay.
10.3 Availability
A target availability level applies only when expressly included in the Order. Otherwise the Service is provided with due care appropriate for B2B internet services.
11. Termination, dissolution, and suspension
11.1 Termination
- Either party may terminate an agreement for an indefinite term with one billing period’s notice unless the Order states another period.
- An agreement for a fixed term ends at the end of that term or earlier in cases stated in the agreement or mandatory law.
11.2 Dissolution for breach
Either party may dissolve the agreement for a material breach that the other party fails to remedy within a reasonable time after notice.
11.3 Suspension
Lemric may immediately restrict access where needed to stop an attack, unlawful activity, or a serious threat to data or Service stability. The restriction will be proportionate and will not last longer than reasonably necessary.
11.4 Effects of ending
- After the agreement ends, data are processed under the Privacy Policy and the DPA.
- Lemric does not provide self service export after access ends.
- Return or export of data must be agreed or requested before access ends.
12. Complaints
- Complaints about the electronic service may be sent to legal@lemric.com.
- A complaint should identify the Customer, Organisation, problem description, relevant dates, and the expected resolution.
- Lemric may ask for information needed to assess the complaint.
- Lemric responds without undue delay, usually within fourteen days of receiving a complete complaint.
- If more time is needed, Lemric will state the reason and the expected reply date.
13. Confidentiality and rights
13.1 Confidentiality
Each party protects the other party’s confidential information and uses it only to perform or enforce rights under the agreement. The duty does not cover information that:
- became public without breach,
- was lawfully received from another source,
- must be disclosed by law.
13.2 Intellectual property
The Service, software, documentation, and Lemric marks remain protected by Lemric’s rights or those of the rightful owners. The agreement grants only a right to use the Service while it is in force.
14. Liability
14.1 General principles
Each party is liable under mandatory law. To the extent permitted between businesses, Lemric is not liable for:
- lost profits,
- lost opportunities,
- indirect loss,
- effects of Customer action, external integrations, or circumstances beyond reasonable control.
14.2 Liability cap
Lemric’s aggregate liability for all claims related to one Organisation is limited to the fees paid for that Organisation in the twelve months before the event giving rise to the loss.
The limitation does not apply to intentional harm or liability that cannot be excluded or limited by law.
15. Changes to the Terms
- Lemric may change the Terms because of changes in law, security requirements, technology, Service scope, or how the business is run.
- The Customer will be informed electronically of a material change in advance when reasonably possible.
- If a material change adversely affects the Customer, the Customer may terminate before it takes effect unless the change is required by law or removes an urgent security threat.
- Continued use after the effective date means acceptance of the new Terms.
16. Governing law and contact
16.1 Law and disputes
- The agreement is governed by Polish law.
- Disputes are submitted to the court competent for Lemric’s place of business unless mandatory law requires another court.
